Terms of service

Agreement

These terms form an agreement between you and ProposalPro Inc. ("we", "us") covering your use of the ProposalPro web application and related services. By creating an account you accept them.

If you are agreeing on behalf of a company, you confirm you have authority to bind that company, and "you" means that company.

Your account

You are responsible for the accuracy of the details on your account and for keeping your credentials secure. Tell us promptly if you believe your account has been accessed by someone else.

You must be at least 18 years old and must not use the service where doing so would breach the law that applies to you.

Plans, billing, and cancellation

Paid plans are billed in advance on a monthly or annual cycle through Stripe. Trials convert into paid subscriptions at the end of the trial period unless cancelled first.

You can cancel at any time from billing settings. Cancellation stops future charges and access continues to the end of the period you have already paid for. We do not pro-rate partial periods, but we will refund any charge disputed within 14 days.

We may change prices with at least 30 days notice by email. Price changes never apply to a period you have already paid for.

Your content

You keep all rights to the proposals, client details, logos, and other material you put into the service. We claim no ownership over it.

You grant us only the limited licence needed to host, process, back up, and display that material so the service works — for example, rendering a proposal into a PDF or serving it at a share link you created.

We do not sell your content and we do not use it to train machine learning models.

AI-generated output

The drafting features produce a starting point, not a finished legal document. Output can be wrong, incomplete, or unsuitable for your situation.

You are responsible for reviewing every proposal before you send it, including all pricing, dates, commitments, and legal terms. We are not liable for the consequences of sending unreviewed output.

Acceptable use

Do not use the service to send unlawful, fraudulent, harassing, or deliberately misleading material, to infringe anyone’s intellectual property, or to attempt to breach the security of the service or of other accounts.

We may suspend an account that breaches this section. Where the breach is not serious we will tell you first and give you a chance to fix it.

Availability and support

We aim for high availability but do not promise the service will be uninterrupted. Planned maintenance is announced in advance where practical.

Support is provided by email. Pro Yearly accounts are prioritised in the queue.

Liability

To the maximum extent the law allows, our total liability arising out of or relating to the service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

We are not liable for indirect or consequential loss, including lost profits, lost business, or lost data, except where that exclusion is not permitted by law.

Nothing in these terms limits liability for fraud, or for death or personal injury caused by negligence.

Termination

You may close your account at any time from settings. We may terminate for material breach of these terms, or with 30 days notice for any other reason, in which case we refund any unused prepaid period.

After closure we retain your data for 30 days so it can be recovered on request, then delete it.

Changes and contact

We may update these terms. Material changes are announced by email at least 14 days before they take effect, and continuing to use the service after that date means you accept them.
